1. Acceptance of Terms
By accessing or using the FiapPay platform ("Service"), operated by Los Bebes Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Service. These Terms constitute a legally binding agreement between you and the Company. FiapPay reserves the right to modify these Terms at any time. Any changes will be effective upon posting. Your continued use of the platform after changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
2. Definitions
For the purposes of these Terms:
- "Seller" / "Vendor" refers to any individual or business entity that creates a bill or payment request through the FiapPay bot to collect funds from a buyer in exchange for goods or services.
- "Buyer" refers to any individual who pays into a FiapPay escrow transaction in exchange for goods or services from a Seller.
- "Escrow Pool" refers to the secure holding account managed by FiapPay where buyer funds are temporarily held until the conditions for release are met.
- "Release PIN" refers to the unique, confidential 4-digit code issued to the Buyer upon successful payment, which authorizes the release of escrowed funds to the Seller.
- "Bill" refers to the transaction request created by the Seller via the FiapPay bot, specifying the amount, item description, and buyer phone number.
- "Dispute" refers to a formal disagreement initiated by either party through the FiapPay bot regarding the outcome of a transaction.
- "Platform" refers to the FiapPay service accessible via WhatsApp bot, including all associated systems, APIs, and infrastructure.
3. Nature of the Service
FiapPay is a technology platform that provides automated escrow services for peer-to-peer and business-to-consumer online commerce conducted across social media platforms including WhatsApp, Instagram, TikTok, and Facebook, using Mobile Money (MTN MoMo and Orange Money).
FiapPay acts exclusively as a neutral financial intermediary. We hold funds in escrow on behalf of transacting parties and release them based on predefined conditions (PIN confirmation or dispute resolution). FiapPay does not:
- Sell, manufacture, store, ship, or deliver any goods or services.
- Verify the quality, legality, safety, or accuracy of items listed by Sellers.
- Guarantee delivery timelines, shipping methods, or carrier reliability.
- Act as a marketplace, retailer, or product listing platform.
- Provide warranties or guarantees on any goods or services transacted through the Platform.
FiapPay is not a bank, microfinance institution, or licensed Payment Service Provider (PSP). All Mobile Money transactions are processed by our licensed third-party aggregation partners (CamPay). FiapPay is a technology layer that orchestrates the escrow lifecycle between buyers, sellers, and mobile money networks.
4. Eligibility
You must meet all of the following requirements to use FiapPay:
- Be at least 18 years of age.
- Possess a valid, personally registered Mobile Money account (MTN MoMo or Orange Money) in Cameroon.
- Provide accurate and truthful information in all communications with the Platform.
- Have the legal capacity to enter into binding agreements under Cameroonian law.
By using FiapPay, you represent and warrant that you meet all of these requirements. Providing false information or using another person's Mobile Money account is grounds for immediate account termination and potential legal action.
5. Seller Obligations and Responsibilities
CRITICAL NOTICE FOR SELLERS
FiapPay is a payment escrow tool only. The entire commercial relationship between Seller and Buyer, including product descriptions, pricing, delivery terms, return policies, and warranties, is the sole responsibility of the Seller. Sellers MUST establish and communicate their own terms of sale to their buyers BEFORE initiating a FiapPay transaction.
By using FiapPay as a Seller, you acknowledge and agree to the following obligations:
- Pre-Transaction Agreement: Before creating a FiapPay bill, the Seller must have reached a clear, mutual agreement with the Buyer regarding: the exact item(s) or service(s) being purchased, the total price, delivery method and estimated timeline, return/exchange policy (if any), and any other relevant conditions. FiapPay is not a party to this commercial agreement and bears no responsibility for its terms.
- Accurate Descriptions: Sellers are solely responsible for ensuring that all item descriptions, photos, and representations shared with Buyers (on WhatsApp, Instagram, TikTok, Facebook, or any other channel) are accurate, truthful, and not misleading. FiapPay does not verify or endorse any product listing.
- Legal Compliance: Sellers must ensure that all goods and services offered comply with applicable Cameroonian law. Selling counterfeit, stolen, illegal, or regulated goods through the Platform is strictly prohibited and will result in immediate account termination and referral to authorities.
- Delivery Responsibility: The Seller assumes full responsibility for the safe, timely, and traceable delivery of goods to the Buyer. FiapPay does not manage, verify, or guarantee any aspect of the shipping or delivery process.
- Own Terms of Service: Sellers who operate as businesses are strongly encouraged to maintain their own written terms of service, return policies, and customer service procedures. Any disputes arising from the Seller's own terms are the Seller's responsibility to resolve, independent of FiapPay's dispute resolution process.
- Tax Compliance: Sellers are solely responsible for any tax obligations arising from sales conducted via the Platform, including but not limited to income tax, business tax, and any applicable VAT or turnover taxes under Cameroonian law.
6. Buyer Obligations and Responsibilities
By using FiapPay as a Buyer, you acknowledge and agree to the following:
- Due Diligence: Before agreeing to a transaction, the Buyer should independently verify the Seller's reputation, product authenticity, and terms of sale. FiapPay does not vet, endorse, or certify any Seller on the Platform.
- Pre-Transaction Agreement: The Buyer must reach a clear agreement with the Seller regarding the items being purchased, price, delivery method, and any return/exchange conditions BEFORE approving a FiapPay payment. Once payment is locked in escrow, the commercial terms agreed upon between Buyer and Seller govern the transaction.
- PIN Confidentiality: The Release PIN is confidential and must NEVER be shared with anyone, including the Seller, until the Buyer has physically received, inspected, and accepted the goods. Sharing the PIN prematurely constitutes voluntary authorization of fund release, and FiapPay bears no liability for funds released via valid PIN entry.
- Timely Inspection: Upon receiving goods, the Buyer must inspect them within a reasonable timeframe (24 hours unless otherwise agreed with the Seller) and either release the PIN or initiate a dispute. Failure to act within the escrow hold period may result in automatic release of funds to the Seller.
- Good Faith: Buyers must act in good faith. Filing false disputes, claiming non-delivery when goods were received, or attempting to retain both the goods and the escrowed funds constitutes fraud and will result in account termination and potential legal action.
8. Transaction Process and Release PIN
Each transaction follows a strict lifecycle:
- Bill Creation: The Seller generates a bill via the FiapPay WhatsApp bot specifying the amount, item description, and Buyer's phone number.
- Payment and Locking: The Buyer receives and approves the Mobile Money payment prompt. Funds are locked in the FiapPay escrow pool. The Buyer receives a confidential 4-digit Release PIN via SMS/WhatsApp.
- Delivery: The Seller ships/delivers the goods to the Buyer using their agreed-upon delivery method.
- Inspection and Release: Upon satisfactory receipt and inspection of goods, the Buyer texts the Release PIN to the FiapPay bot. Funds are instantly disbursed to the Seller's Mobile Money account, minus the platform fee.
IRREVERSIBLE ACTION:
Once the Release PIN is submitted to the FiapPay bot, the fund release is immediate and irreversible. FiapPay cannot reverse, cancel, or modify a completed disbursement. The Buyer bears full responsibility for verifying goods before entering the PIN.
9. Fees
FiapPay charges a transparent 4% platform fee on each transaction, split equally: 2% is added to the buyer's total, and 2% is deducted from the seller's payout. The exact amounts are clearly displayed by the bot before either party commits. There are no hidden fees, monthly subscriptions, or setup charges. FiapPay reserves the right to adjust fee structures with 30 days prior notice.
10. Transaction Limits
Standard accounts may escrow up to 50,000 FCFA per transaction with a daily limit of 150,000 FCFA. Verified business accounts (Tier 2) may process up to 500,000 FCFA per transaction with a daily limit of 2,000,000 FCFA. FiapPay reserves the right to adjust these limits at any time to comply with applicable regulations or internal risk policies. Attempts to circumvent transaction limits through split transactions or other means are prohibited.
11. Escrow Hold Period
Escrowed funds are held for a maximum of 7 calendar days from the date of successful payment ("Hold Period"). During this period:
- The Buyer may release funds at any time by submitting the Release PIN.
- The Buyer may initiate a dispute by texting "Dispute" to the FiapPay bot.
- If the Buyer takes no action (no PIN release and no dispute) within the Hold Period, FiapPay reserves the right to automatically release the funds to the Seller. This auto-release policy exists to prevent indefinite fund holding and to protect Sellers from unresponsive Buyers.
The Hold Period may be extended during an active dispute investigation. Both parties will be notified of any extensions.
12. Disputes and Mediation
Either party may initiate a dispute by texting "Dispute" to the FiapPay bot within the Hold Period. Our mediation team will:
- Request and independently review evidence from both parties (photos, videos, shipping receipts, communication screenshots, delivery confirmations).
- Assess the dispute based on the preponderance of evidence available.
- Issue a binding determination within 5 business days of receiving all evidence.
FiapPay's dispute resolution decision is final and binding for both parties within the scope of the escrowed amount. Possible outcomes include: full release to Seller, full refund to Buyer, or partial split based on the circumstances. FiapPay's dispute resolution is limited to the escrowed funds only. We do not award damages, penalties, or compensation beyond the original transaction amount. Both parties agree to accept FiapPay's determination as the final resolution within the scope of this platform.
13. Refunds and Cancellations
Before payment is locked: Either party may cancel the transaction at no cost. No funds have been moved.
After payment is locked but before PIN release: The Buyer may initiate a dispute if there is a legitimate reason (e.g., Seller fails to ship, item is materially different from description). Refunds to the Buyer are processed via Mobile Money and may take 1-3 business days depending on network conditions.
After PIN release: No refunds are possible through FiapPay. Once the Buyer has voluntarily released funds by entering the PIN, the transaction is complete and irreversible on our platform. Any post-release disputes between Buyer and Seller regarding returns, exchanges, or refunds must be resolved directly between the parties outside of FiapPay.
FiapPay does not process refunds for buyer's remorse, change of mind, or subjective dissatisfaction with goods that materially match their description.
14. Prohibited Activities
You agree not to use FiapPay for:
- The sale or purchase of illegal, counterfeit, stolen, or prohibited goods or services.
- Money laundering, terrorist financing, fraud, or any form of financial crime.
- Abusing the dispute system with false, misleading, or frivolous claims.
- Attempting to circumvent transaction limits, security measures, or identity verification.
- Using the platform to harass, threaten, or intimidate other users.
- Creating multiple accounts to evade suspension or bans.
- Reverse engineering, scraping, or interfering with the Platform's technical infrastructure.
- Using the escrow system for transactions where no actual goods or services are exchanged (sham transactions).
Violation of these rules may result in immediate and permanent account suspension, forfeiture of escrowed funds to the non-violating party, and referral to relevant law enforcement authorities.
15. Account Suspension and Termination
FiapPay reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, if:
- You violate any provision of these Terms.
- We detect suspicious, fraudulent, or illegal activity on your account.
- You have an excessive number of disputes filed against you.
- We are required to do so by law or regulatory order.
Upon termination, any pending escrowed funds will be handled according to the dispute resolution process. FiapPay is not liable for any losses resulting from account suspension or termination due to Terms violations.
16. Limitation of Liability
To the maximum extent permitted by applicable Cameroonian law:
- FiapPay provides the Service "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
- FiapPay shall not be held liable for: delays or failures caused by Mobile Money network outages or maintenance; incorrect phone numbers or payment details provided by users; losses resulting from the voluntary sharing of Release PINs; the quality, safety, legality, or delivery of goods or services transacted through the Platform; any losses due to Force Majeure events (natural disasters, civil unrest, government orders, internet outages).
- Our total aggregate liability for any claim arising from the Service is limited to the platform fees collected on the specific transaction in question, not exceeding 50,000 FCFA in any event.
17. Indemnification
You agree to indemnify, defend, and hold harmless FiapPay, Los Bebes Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; any dispute between you and another user of the Platform; or any claim by a third party relating to goods or services you sold or purchased through the Platform.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cameroon. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the competent courts in Bamenda, North-West Region, Cameroon. Both parties agree to attempt amicable resolution before initiating formal legal proceedings.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
